Terms of business
The terms that apply when your business, club or team orders custom manufacturing from us.
Last updated 9 October 2026
Prepared on 9 October 2026 from the commercial terms the client has confirmed in writing. It has not yet been approved by a lawyer. Clauses tagged For review need a decision from the lawyer or the client before launch.
1. About these terms
These terms apply to every quote we give and every order we accept. They are between KitNext, Sialkot, Pakistan ("we", "us") and the business, club, school or team placing the order ("you"). We sell to organisations, not to consumers. If your purchase order has different terms, these terms apply unless we have agreed otherwise in writing.
For review The registered legal entity behind KitNext is pending. Confirm the contracting party's registered name and address; until then the brand name stands in here.2. Quotes and prices
We do not publish a price list. Every order is quoted individually, because the price depends on the product, fabric, quantity, decoration, packaging and shipping. A quote is valid for 30 days. It is an offer to discuss an order, not a binding offer.
Quotes are in US dollars unless stated otherwise, on EXW Sialkot terms (Incoterms 2020) by default. FOB, DAP, DDP are available on request. Unless your quote says DDP, prices exclude freight, insurance, import duty, taxes and customs charges in your country.
3. How an order is made
An order becomes a contract when you have approved the mockup or sample in writing, paid the deposit, and we have confirmed the order in writing.
4. Artwork, approval and intellectual property
You confirm that you own, or have permission to use, every logo, crest, sponsor mark, name and design you send us. You will compensate us for any claim a third party brings because we reproduced them on your order.
We start production only after you have approved a digital mockup (free, usually within 24 hours) or a physical sample in writing, and paid the deposit. The approved mockup or sample is the specification for the order. Changes after approval may add cost and time.
Your artwork stays yours. We use it only to make your orders, and keep it with your patterns so repeat orders are faster, unless you ask us to delete it.
For review Confirm the indemnity wording for artwork you supply, and whether it needs a cap.5. Samples
Samples are charged. A sample usually costs around twice the normal per-piece production price, plus courier shipping, which you pay. We confirm both costs before we start, and the sample cost may be adjusted against a confirmed bulk order. Samples take about 7–10 business days.
6. Payment
Unless your quote says otherwise, you pay a 50% deposit to start production. When your order is ready, we email you photos of it and the balance invoice; we call this the ready notice. You pay the remaining 50% within 7 days of the ready notice. All payments are by bank transfer.
Bank charges. You pay all bank charges outside Pakistan: when you send a payment, choose the "OUR" charge option (some banks call it "sender pays all charges"). We pay only our own bank's charges in Pakistan. If a deposit arrives slightly short only because of bank charges, we add the difference to your balance invoice. If a balance payment arrives slightly short only because of bank charges, we add the difference to your next order. Apart from this, every order is paid in full before it ships.
If the balance is not paid. All the dates below count from the day we send the ready notice. We store the finished order free of charge for 30 days after the ready notice; after that, storage is charged at PKR 1,000 per order per week. 60 days after the ready notice, we send a final reminder by email. If the balance is still unpaid 90 days after the ready notice, the order is cancelled and we keep the deposit, subject to applicable law.
We never sell or distribute goods that carry your logos, trademarks, crests or sponsors' branding without your authorisation. If an order is cancelled for any reason, those goods may be recycled or have the branding removed where possible.
For review Client-confirmed 9 October 2026. Lawyer to confirm that the storage charge and keeping the deposit on an unpaid order are reasonable compensation under section 74 of the Contract Act 1872, and consistent with an unpaid seller's rights under the Sale of Goods Act 1930. Client to confirm: how storage is invoiced (with the balance, and at what exchange rate) and whether storage built up before a day-90 cancellation is still owed; whether storage also applies to a paid order that is not collected; and that the 7, 30, 60 and 90 days are calendar days.7. Lead times
Lead times run from your written approval and our receipt of the deposit, not from your first enquiry. Bulk production typically takes 10–15 days. Lead times are good-faith estimates; a delivery date is binding only if we have agreed it in writing.
8. Tolerances and colour
Finished garments are made to the approved size chart within a tolerance of ±1 inch (±2.5 cm). Colours are matched to the approved design as closely as the printing process allows. Small differences between screen and fabric, or between production batches, are normal and are not faults.
9. Inspection, faults and remedies
We inspect every order before it ships. Please check the goods when they arrive and report any fault, shortage or departure from the approved specification within 7 days of the goods reaching you, with photographs, to info@kitnextsports.com. Where we confirm the problem, we will put it right by remake, replacement or credit, at our choice.
Because every order is made to your artwork and sizes, it cannot be returned for a change of mind.
For review Decide whether remake, replacement or credit is the buyer's only remedy for a fault, and whether faults found after 7 days are excluded entirely.10. Cancellations
Production starts when we begin printing or cutting fabric for your order.
Before production starts, you can cancel your order. We refund your deposit less a handling charge. The charge is 5% of the deposit, with a minimum charge of USD 50. If you prefer, the full deposit instead becomes credit towards a new order within 6 months, with no handling charge.
After production starts, the deposit is not refunded if you cancel or change your mind. You can still pay the balance and receive the finished goods.
This section does not affect your rights under these terms or applicable law if the goods are faulty or if we fail to do what we agreed with you. For changes to an approved design, see section 4.
For review Client-confirmed 9 October 2026. Lawyer to confirm the handling charge and the non-refundable deposit after production starts are enforceable under section 74 of the Contract Act 1872. Client to confirm when the 6 months of credit start (from the cancellation is suggested). The client is confirming with its bank how an export advance is refunded, or closed when goods are never shipped, under State Bank of Pakistan rules.11. Delivery, risk and ownership
Risk in the goods passes to you as set out in the agreed Incoterm; under EXW Sialkot, that is when the goods are made available for collection at our premises. Ownership passes to you once we have received payment in full.
12. Our liability
Our total liability for any order is limited to the price you paid for that order. We are not liable for indirect or consequential loss, such as loss of profit, revenue, events or goodwill. Nothing in these terms limits liability that cannot be limited by law.
For review Proposed standard B2B clause: confirm the cap and the exclusions are enforceable under the chosen governing law.13. Events beyond our control
We are not responsible for delays or failures caused by events outside our reasonable control, such as power or utility failures, strikes, natural disasters, port or customs delays, or government action. We will tell you promptly and agree a new date with you.
For review Proposed standard clause, not yet confirmed by the client.14. Governing law and disputes
These terms are governed by the laws of Pakistan. Any dispute will be decided by the courts of Sialkot, Pakistan. We will always try to resolve a problem with you directly first.
For review Confirm governing law and forum. For overseas buyers, international arbitration (for example under the ICC or SIAC rules) may be easier to enforce than Pakistani court judgments.15. Contact
